"AI Church," "AI Church ChMS," "Free Church ChMS," and "Sermon Assistant" are software product names offered under the Boreon™ umbrella. DEFINITIONS ════════════════════════════════════════════════════════════════════════ "Software" means the Free Church ChMS platform (also offered under the name AI Church ChMS) in any form — including the source code, object code, single-file application (app.php), database schema, APIs, SDKs, user-interface and user-experience designs, layouts, "look and feel," design system, algorithms, engagement/scoring/analytics logic, workflow engine, documentation, Knowledge Base, brand and visual assets, generated imagery, text, and every other component or derivative thereof. "Licensor" means Boreon Industries LLC, a limited liability company organized under the laws of the State of Georgia, United States of America, the sole and exclusive owner of all rights in the Software, operating the KWAM.CH platform with data sovereignty in Switzerland. "You" (or "Licensee") means the individual or entity exercising rights under this License. "Eligible Organization" means a church, ministry, religious congregation, diocese, denomination, missionary organization, or bona fide faith-based nonprofit using the Software for its own internal, non-commercial religious or charitable operations. "Competing Product" means any product, service, application, platform, tool, template, or offering — whether commercial or non-commercial, hosted or distributed — that performs functions substantially similar to, or that competes with, the Software or any Boreon Industries LLC product, including church management, congregational engagement/analytics, donor/giving intelligence, faith-based AI content generation, or related services. "Boreon Marks" means "Boreon," "Boreon™," "AI Church," "AI Church ChMS," "Free Church ChMS," "Sermon Assistant," the Boreon logo/watermark, and any name, mark, or logo confusingly similar to any of them. "Confidential Information" means any non-public information embodied in or disclosed by the Software, including architecture, algorithms, data models, unreleased features, and security configurations. ════════════════════════════════════════════════════════════════════════ STATEMENT OF FAITH & PURPOSE ════════════════════════════════════════════════════════════════════════ AI Church ChMS is a Christian product, offered freely to the Body of Christ in the name of God and in dedication to Pope Leo and the glory of Our Lord Jesus Christ, with the prayerful intercession of the Holy Mother Mary over every congregation served by this platform. GRANT OF LICENSE — PERMITTED USE ════════════════════════════════════════════════════════════════════════ Subject to Your continuous compliance with every term of this License, Licensor grants You a worldwide, royalty-free, non-exclusive, non-transferable, non-sublicensable, revocable license to: 1.1 USE the Software to operate Your own Eligible Organization at no cost, in perpetuity. 1.2 SELF-HOST the Software on Your own servers or hosting accounts for Your Eligible Organization's internal use. 1.3 MODIFY the source code for the internal needs of Your Eligible Organization, provided that: (a) all modifications remain subject to this License; (b) modified versions are never sold, licensed, hosted for third parties, or commercialized; (c) the Boreon Industries LLC copyright notice, this License, the Boreon™ watermark, and all attribution and faith dedications are preserved intact in all copies and substantial portions; and (d) modified files carry a prominent notice that they were changed. 1.4 SHARE the original, unmodified Software with other Eligible Organizations, provided this License accompanies every copy and full attribution to Boreon Industries LLC is preserved. This grant extends only to Eligible Organizations. It does not extend to any for-profit company, software vendor, agency, integrator, or developer seeking to build, host, resell, or operate the Software (or anything derived from or inspired by it) for or on behalf of third parties. ════════════════════════════════════════════════════════════════════════ 2. RESTRICTIONS — PROHIBITED USE (WORLDWIDE) ════════════════════════════════════════════════════════════════════════ Except as expressly permitted in Section 1, and notwithstanding any contrary provision of local law to the maximum extent such provision may lawfully be waived, You and any third party SHALL NOT, anywhere in the world, directly or indirectly, in whole or in part: 2.1 COPY, reproduce, duplicate, mirror, clone, scrape, fork, or republish the Software or any portion of it, except as expressly allowed by Section 1. 2.2 SELL, rent, lease, license, sublicense, distribute for a fee, monetize, or offer the Software (or any derivative, modification, or substantial portion) as a paid product, subscription, SaaS, hosted service, agency deliverable, or commercial offering of any kind. 2.3 BUILD, develop, train, launch, or operate a Competing Product using the Software, its source code, architecture, database schema, API or SDK design, user-interface or user-experience design, "look and feel," design system, algorithms, business logic, or any substantial portion or expression thereof — whether by direct copying, paraphrasing, transcoding, re-implementation, "clean-room" imitation informed by access to the Software, or porting to another language or framework. 2.4 REVERSE ENGINEER, decompile, or disassemble the Software for the purpose of developing, marketing, or assisting a Competing Product, or to misappropriate its Confidential Information or trade secrets, except to the limited extent such restriction is expressly prohibited by applicable mandatory law (and then only to that minimum extent). 2.5 REMOVE, alter, obscure, circumvent, or falsify any copyright notice, license text, author attribution, the Boreon™ watermark or logo, the Boreon Marks, the faith dedication, or any copyright-management information — an act independently prohibited under 17 U.S.C. § 1202 and equivalent laws worldwide. 2.6 CIRCUMVENT, disable, or bypass any technological protection, access control, license check, watermark, or security measure in the Software, or traffic in tools to do so — independently prohibited under 17 U.S.C. § 1201 (DMCA), the EU InfoSoc Directive (2001/29/EC), the WIPO Copyright Treaty, and equivalent laws worldwide. 2.7 USE the Boreon Marks, or any confusingly similar name, mark, or logo, in connection with any product, service, organization, domain, or website without Licensor's prior written consent; or do anything likely to cause confusion, mistake, or deception as to source, sponsorship, affiliation, or endorsement, or that dilutes the Boreon Marks. 2.8 WHITE-LABEL, rebrand, or present the Software as Your own original work, or misrepresent its origin or authorship. 2.9 HARVEST, aggregate, sell, broker, or monetize congregation data, member information, giving records, or any personal data processed by the Software. 2.10 USE the Software's code, outputs, or any data it processes to train, fine-tune, evaluate, benchmark, or improve any artificial-intelligence or machine-learning model, dataset, or system. 2.11 MISAPPROPRIATE any Confidential Information or trade secret embodied in the Software, or use or disclose it for any purpose outside this License — independently actionable under the U.S. Defend Trade Secrets Act (18 U.S.C. § 1836), the Economic Espionage Act (18 U.S.C. §§ 1831– 1839), state trade-secret law, the EU Trade Secrets Directive (2016/943), the Swiss Unfair Competition Act (UWG), and equivalent laws worldwide. 2.12 ASSIST, induce, authorize, or enable any third party to do any of the foregoing, or assert any patent against the Software or Licensor (any such assertion immediately and automatically terminates all rights granted to You). For the avoidance of doubt: these restrictions bind for-profit companies, competitors, vendors, agencies, and developers in the United States and in every other country, regardless of where the Software is obtained, hosted, copied, or deployed. ════════════════════════════════════════════════════════════════════════ 3. OWNERSHIP & RESERVATION OF RIGHTS ════════════════════════════════════════════════════════════════════════ The Software is licensed, not sold. All right, title, and interest in and to the Software — including all copyrights, trademarks, trade secrets, patents, database rights, design rights, and all other intellectual-property rights, worldwide — are and shall remain the sole and exclusive property of Boreon Industries LLC. No title or ownership is transferred. No rights are granted by implication, estoppel, exhaustion, or otherwise except the limited rights expressly stated in Section 1. Any feedback or contribution You provide is assigned to and may be used by Licensor without restriction or compensation. ════════════════════════════════════════════════════════════════════════ 4. INTELLECTUAL-PROPERTY PROTECTION — UNITED STATES & WORLDWIDE ════════════════════════════════════════════════════════════════════════ The Software is original work fixed in a tangible medium and is protected, without any need for registration, the moment it is created. Protection is automatic and worldwide. The Software, the Boreon Marks, and the Confidential Information are protected by, and infringement will be pursued under, the following bodies of law (without limitation): UNITED STATES • Copyright Act of 1976, 17 U.S.C. § 101 et seq. (reproduction, derivative works, distribution, public display — statutory damages up to $150,000 per work for willful infringement, plus costs and attorneys' fees). • Digital Millennium Copyright Act, 17 U.S.C. §§ 1201–1202 (anti- circumvention and copyright-management-information integrity). • Lanham Act, 15 U.S.C. § 1051 et seq., including § 1114 (trademark infringement), § 1125(a) (false designation of origin / unfair competition / trade dress), and § 1125(c) (dilution of famous marks). • Defend Trade Secrets Act, 18 U.S.C. § 1836, and the Economic Espionage Act, 18 U.S.C. §§ 1831–1839. • Computer Fraud and Abuse Act, 18 U.S.C. § 1030 (unauthorized access). • The Uniform Trade Secrets Act and unfair-competition statutes as enacted by the several States. INTERNATIONAL & TREATY • Berne Convention for the Protection of Literary and Artistic Works (automatic protection in 180+ member states). • Universal Copyright Convention; WIPO Copyright Treaty (WCT) and WIPO Performances and Phonograms Treaty (WPPT). • Agreement on Trade-Related Aspects of Intellectual Property Rights (TRIPS), enforceable among all World Trade Organization members. • Paris Convention for the Protection of Industrial Property; Madrid System for the international registration of marks. REGIONAL & NATIONAL • European Union: Directive 2001/29/EC (InfoSoc), Directive 2009/24/EC (legal protection of computer programs), Directive 2004/48/EC (enforcement of IP rights), Directive (EU) 2016/943 (trade secrets), and Directive (EU) 2019/790 (copyright in the Digital Single Market). • United Kingdom: Copyright, Designs and Patents Act 1988. • Switzerland: Federal Copyright Act (URG, SR 231.1), the Unfair Competition Act (UWG, SR 241), and the Trademark Protection Act (MSchG, SR 232.11). • The national copyright, trademark, unfair-competition, and trade-secret laws of every other country in which the Software is accessed, copied, hosted, distributed, or used. ════════════════════════════════════════════════════════════════════════ 5. ENFORCEMENT & REMEDIES ════════════════════════════════════════════════════════════════════════ Any use of the Software in violation of this License constitutes copyright infringement, trademark infringement, unfair competition, trade-secret misappropriation, and/or breach of contract, and subjects the violator to the full range of civil and, where applicable, criminal remedies, including without limitation: • Immediate, preliminary, and permanent INJUNCTIVE RELIEF (which You agree is appropriate because monetary damages alone are inadequate) requiring the violator to cease and take down the infringing product or service; • ACTUAL DAMAGES and disgorgement of the violator's profits; • STATUTORY DAMAGES, including up to US$150,000 per work for willful copyright infringement, DMCA damages, and up to US$2,000,000 per mark for willful trademark counterfeiting under U.S. law; • SEIZURE, impoundment, and destruction of infringing materials; • Recovery of COSTS, expenses, and reasonable ATTORNEYS' FEES; • Customs recordation and border enforcement against infringing imports; and • Any other relief available at law or in equity, in any jurisdiction. Licensor may pursue enforcement in U.S. federal court, in Swiss courts, and in any other court of competent jurisdiction — including any jurisdiction in which infringement occurs, in which the violator is located, or in which the violator has assets — and may pursue multiple jurisdictions in parallel. No failure or delay in enforcement is a waiver of any right. ════════════════════════════════════════════════════════════════════════ 6. TERM & TERMINATION ════════════════════════════════════════════════════════════════════════ This License is effective until terminated. It terminates AUTOMATICALLY and immediately, without notice, upon any breach by You of any term — and in particular any breach of Section 2. Upon termination You must immediately cease all use and destroy all copies of the Software in Your possession or control. Sections 0, 2, 3, 4, 5, 6, 7, 8, and 9 survive termination. For the protection of its intellectual property, Licensor may additionally invoke and enforce the laws of any jurisdiction in which infringement occurs (Section 5). Severability: if any provision is held unenforceable, it shall be limited or severed to the minimum extent necessary and the remainder shall remain in full force. No Waiver: no waiver is effective unless in writing and signed by Licensor. Assignment: You may not assign this License; Licensor may assign it freely. Entire Agreement: this License, together with the AI Church ChMS Terms of Service, is the entire agreement concerning the Software and supersedes prior understandings. Amendment: Licensor may release future versions; the free-forever commitment to Eligible Organizations can never be reduced or revoked. ════════════════════════════════════════════════════════════════════════ 10.
